1. Scope of Services
MedicalPro provides a cloud-based healthcare operations platform that may include:
- Electronic medical records (EMR)
- Patient appointment scheduling
- Clinical documentation tools
- Medical record digitization and migration
- Patient portals and engagement tools
- Secure messaging between clinic and patients
- Document management and secure storage
- Operational analytics and reporting
- Healthcare workflow management tools
MedicalPro provides technology infrastructure and software services only.
MedicalPro does not provide medical advice, diagnosis, treatment, or healthcare services.
All clinical decisions and medical care remain the sole responsibility of the Clinic and its licensed healthcare professionals.
2. Eligibility
The Platform may only be used by:
- Licensed healthcare providers
- Registered clinics or medical facilities
- Authorized healthcare staff
- Entities legally permitted to manage patient records
By registering, the Clinic represents that:
- It is legally authorized to provide healthcare services
- Its personnel are properly licensed where required
- It has authority to upload and manage patient records
3. Account Registration and Security
The Clinic must:
- Provide accurate registration information
- Maintain the confidentiality of account credentials
- Restrict system access to authorized personnel
- Implement internal safeguards for staff access
The Clinic is fully responsible for:
- Activities conducted through its account
- Actions of its employees and users
- Security of login credentials
MedicalPro must be notified immediately if unauthorized access is suspected.
4. Acceptable Use
The Clinic shall not:
- Use the platform for unlawful purposes
- Upload malicious software or code
- Attempt to reverse engineer the platform
- Share system access with unauthorized persons
- Use the platform to store non-healthcare related illegal data
- Attempt to interfere with platform security
MedicalPro may suspend or restrict accounts that violate these rules.
5. Intellectual Property
All rights, title, and interest in the Platform remain the exclusive property of MedicalPro Group Pte Ltd, including:
- Software code
- System architecture
- Algorithms and analytics models
- Platform documentation
- Database structures
- Product features and design
The Clinic receives a limited, non-transferable license to use the Platform solely for its healthcare operations.
No ownership rights are transferred.
6. Patient Data Ownership
All patient data uploaded into the Platform remains the property of the Clinic and its patients.
MedicalPro does not claim ownership of patient records.
MedicalPro processes such data solely to provide platform services.
7. Platform Availability
MedicalPro will use commercially reasonable efforts to maintain platform availability.
However, the Platform is provided “as available” and “as is.”
Temporary downtime may occur due to:
- Maintenance
- Upgrades
- Security events
- Infrastructure issues
- Force majeure events
MedicalPro does not guarantee uninterrupted service.
8. Fees and Payment
Where applicable, Clinics agree to pay subscription fees, service charges, or onboarding costs associated with platform usage.
Failure to pay may result in:
- Suspension of access
- Restriction of platform services
- Account termination
9. Suspension and Termination
MedicalPro may suspend or terminate access if:
- These Terms are violated
- Payment obligations are not met
- Misuse of the platform occurs
- Security risks arise
- Legal compliance requires suspension
Upon termination, access to the system may be disabled.
10. Healthcare Disclaimer
MedicalPro is not a healthcare provider.
The Platform does not replace professional medical judgment.
The Clinic remains solely responsible for:
- Patient care decisions
- Clinical accuracy of records
- Regulatory compliance
- Communication with patients
11. Limitation of Liability
To the fullest extent permitted by law:
MedicalPro’s total liability arising from or related to the Platform shall not exceed the total service fees paid by the Clinic during the twelve (12) months preceding the claim.
MedicalPro shall not be liable for:
- Indirect damages
- Loss of profits
- Loss of data caused by user misuse
- Clinical decisions made by healthcare providers
This limitation does not apply to liability arising from:
- Willful misconduct
- Fraud
- Gross negligence where prohibited by law.
12. Indemnification
The Clinic agrees to indemnify and hold MedicalPro harmless from claims arising from:
- Unlawful use of the platform
- Violation of healthcare regulations
- Improper handling of patient data by the clinic
- Unauthorized upload of patient information
13. Governing Law
This Agreement shall be governed by the laws of Singapore.
Processing of Philippine patient data shall comply with the Philippine Data Privacy Act (Republic Act No. 10173) and applicable regulations.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.
MedicalPRO Group Pte Ltd operates a single, integrated healthcare technology platform consisting of multiple connected components, including the Clinic Management Platform (used by healthcare providers), MyHealth (this Patient Portal), the Association Hub (used by professional healthcare associations), the Vendor Platform (used by healthcare product and service suppliers), and the MedicalPRO Network (the public-facing directory and discovery layer).
These components are not separate companies, products, or services. They are modules of one Platform operated by one entity, MedicalPRO Group Pte Ltd, sharing one underlying data and security architecture. This Agreement, together with the corresponding agreements for each other module, forms part of a single, consistent legal framework governing the Platform as a whole.
2. Scope of MyHealth
MyHealth allows a Patient to:
- View medical records, consultation notes, prescriptions, laboratory results, and clinical documentation shared by a Clinic that treats the Patient using the MedicalPRO Clinic Platform
- Book, view, reschedule, or cancel appointments with Clinics using MedicalPRO
- Receive documents such as prescriptions and medical certificates issued by a Clinic
- Manually enter personal health information relating to care received outside the MedicalPRO network of Clinics
- Manage consent relating to how their health information is stored, shared, and used
MyHealth is a personal health record and communication tool. It does not provide medical advice, diagnosis, or treatment, and is not a substitute for professional medical care. Any clinical information available through MyHealth originates from a licensed healthcare provider and should be discussed with that provider or another qualified healthcare professional.
3. Eligibility and Account Registration
MyHealth may be used by individuals who are patients of a Clinic using the MedicalPRO Platform, or who choose to independently register to maintain a personal health record. A Patient must provide accurate registration information, is responsible for maintaining the confidentiality of their account credentials, and is responsible for all activity conducted through their account.
A Patient must notify MedicalPRO immediately if unauthorized access to their account is suspected, using the contact details in Section 15 of this Part.
MyHealth accounts are intended for use by the individual patient. A parent, legal guardian, or authorized caregiver may manage a MyHealth account on behalf of a minor or a patient who lacks capacity to manage their own account, and by doing so represents that they are legally authorized to act on that patient's behalf.
4. How a MyHealth Account Is Created
A MyHealth account may be created in either of two ways:
- Clinic-initiated — a Clinic using MedicalPRO adds the Patient to its records and the Patient receives an invitation to activate their own MyHealth account
- Patient-initiated — an individual registers directly for a MyHealth account without a prior Clinic relationship
This distinction matters for how responsibility over data is allocated, and is addressed specifically in Part III, Section 2 of this Agreement.
5. Fees
MyHealth is provided to Patients free of charge. MedicalPRO does not charge patients for creating an account, storing personal health records, booking appointments, or receiving documents through MyHealth.
MedicalPRO reserves the right to introduce optional premium features in the future, which would be clearly identified and would require separate, explicit agreement before any charge applies.
6. Acceptable Use
The Patient shall not use MyHealth for unlawful purposes, upload malicious software or code, attempt to reverse engineer the Platform, misrepresent their identity, share their account access with unauthorized persons, or attempt to access another individual's health records without authorization.
MedicalPRO may suspend or restrict accounts that violate these rules.
7. Intellectual Property
All rights, title, and interest in MyHealth and the wider MedicalPRO Platform, including software code, system architecture, and platform design, remain the exclusive property of MedicalPRO Group Pte Ltd.
The Patient receives a limited, non-transferable, personal license to use MyHealth solely to manage their own health information. No ownership rights in the Platform are transferred.
8. Patient Data Ownership
The Patient owns their personal health information. MedicalPRO does not claim ownership of any data entered into, or shared with, a Patient's MyHealth account.
This principle is consistent with, and identical to, the data ownership position stated in the MedicalPRO Clinic Platform Terms of Service.
9. Platform Availability
MedicalPRO will use commercially reasonable efforts to maintain the availability of MyHealth. The Platform is provided "as available" and "as is." Temporary downtime may occur due to maintenance, upgrades, security events, infrastructure issues, or force majeure events.
MedicalPRO does not guarantee uninterrupted service and is not liable for any harm arising from temporary unavailability, except where such unavailability results from MedicalPRO's gross negligence or willful misconduct.
10. Account Suspension and Termination
MedicalPRO may suspend or terminate a MyHealth account if these Terms are violated, misuse of the Platform occurs, security risks arise, or legal compliance requires suspension. A Patient may close their MyHealth account at any time by submitting a request as described in Section 15.
Closing a MyHealth account does not affect the Clinic's separate legal obligation to retain the Patient's clinical records in accordance with applicable healthcare record-keeping laws. The Clinic's copy of the record, held on the Clinic Platform, is governed by the Clinic's own retention obligations, independent of the Patient's MyHealth account status.
11. Healthcare Disclaimer
MedicalPRO is not a healthcare provider. MyHealth does not replace professional medical judgment. Clinical decisions, the accuracy of medical records, and communication with the Patient about their care remain the sole responsibility of the treating Clinic and its licensed healthcare professionals.
12. Limitation of Liability
Because MyHealth is provided to Patients free of charge, MedicalPRO's total liability arising from or related to a Patient's use of MyHealth shall not exceed SGD 100 or its equivalent, except where such limitation is prohibited by applicable law, or where liability arises from MedicalPRO's willful misconduct, fraud, or gross negligence.
MedicalPRO shall not be liable for indirect damages, loss arising from a Patient's own misuse of the account, or clinical decisions made by a healthcare provider. This limitation does not affect any statutory rights a Patient may hold under Philippine, Singaporean, or other applicable consumer or data protection law that cannot be lawfully excluded.
13. Governing Law
This Agreement shall be governed by the laws of Singapore, consistent with the governing law provisions applicable to the MedicalPRO Clinic Platform.
Processing of the personal data of patients located in the Philippines shall comply with the Philippine Data Privacy Act of 2012 (Republic Act No. 10173) and applicable regulations. Where a Patient is located in the European Economic Area, processing of their personal data shall additionally comply with the General Data Protection Regulation (GDPR), as described in Part III.
Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore, without prejudice to any mandatory data subject rights available to the Patient under local law.
14. Changes to This Agreement
MedicalPRO reserves the right to update this Agreement with reasonable notice to registered Patients. Continued use of MyHealth after notification constitutes acceptance of the updated terms.
